Terms of Service & Master Subscription Agreement

By signing an Order Form, registering an enterprise account, or accessing the Zeva Accounts platform, you ('Subscriber', 'Customer', or 'You') agree to be bound by this Master Subscription Agreement ('Terms') with Doja Enterprises ('we', 'us', or 'Doja Enterprises', operating the software brand 'Zeva Labs').

If you are entering into this Agreement on behalf of a company, corporate body, or partnership firm, you represent and warrant that you hold full corporate authority to legally bind that entity to these Terms.

Zeva Accounts is delivered as software-as-a-service (SaaS) hosted in high-availability cloud infrastructure. This Agreement grants you a non-exclusive, non-transferable, revocable license to access and use the platform for your internal commercial operations.

You are strictly responsible for maintaining the confidentiality of administrative credentials, enforcing multi-factor authentication across your enterprise users, and monitoring account activities under your tenant workspace.

You agree not to reverse-engineer, decompile, mirror, extract source code, or attempt unauthorized penetration testing against Zeva Labs APIs, infrastructure, or databases without prior written authorization.

You agree not to use the platform to transmit unlawful material, fraudulent GST claims, deceptive tax invoices, or prohibited financial instruments under applicable Indian law.

As between the parties, you retain sole and exclusive ownership of all right, title, and interest in and to your operational data, including financial ledgers, customer records, supplier snapshots, tax filings, and inventory logs ('Customer Data').

Zeva Labs claims zero ownership or intellectual property rights in your Customer Data. You may export your full data records at any time during an active subscription via standard JSON, CSV, or Excel formats, or through our documented REST APIs.

Upon termination of your subscription, Zeva Labs will maintain an immutable export snapshot for 60 calendar days to allow you to retrieve historical data, after which data will be permanently purged in accordance with statutory retention schedules.

Zeva Labs commits to delivering an operational Service Level Objective of 99.9% platform availability across core billing and ledger services during any calendar month, excluding scheduled maintenance windows.

Scheduled maintenance is conducted during off-peak hours (between 01:00 AM and 04:00 AM IST on weekends) with at least 48 hours advance notification provided via email and in-app banners.

If monthly availability falls below 99.9%, eligible enterprise subscribers may request service credits calculated against that month's prorated platform fee, as detailed in our Enterprise SLA Addendum.

Subscription fees are billed annually or monthly in advance according to the pricing tier selected on your Order Form. All fees are quoted in Indian Rupees (INR) and are exclusive of applicable Goods and Services Tax (GST at 18%), which will be charged on each statutory tax invoice.

Payments may be remitted via corporate credit cards, net banking, NEFT/RTGS, or automated UPI mandate. Failure to remit payment within 15 calendar days of the invoice due date may result in account suspension until outstanding balances are cleared.

To the maximum extent permitted by applicable law, neither party shall be liable to the other for indirect, punitive, special, incidental, or consequential damages, including loss of profits, lost revenue, or business interruption.

Zeva Labs' total aggregate liability arising out of or related to this Agreement shall not exceed the total fees paid by Customer during the twelve (12) months immediately preceding the event giving rise to the claim.

This Agreement shall be governed by, construed, and enforced in accordance with the laws of the Republic of India. Any dispute or claim arising hereunder shall be subject to the exclusive jurisdiction of the competent civil courts in New Delhi, India.
